  1. THE GREEN ROOM – Film Fund Mexico
    1. Green Room Ventures PTY LTD (“The Green Room“) conducts competitions (each, a “Competition“) whereby winning filmmakers will be awarded funding (each, a “Grant“) for use in the development, production and completion of the film projects that have been submitted to The Green Room. The Green Room’s registered address is Unit 1, 1030-1034 Pittwater Road, COLLAROY NSW 2097, AUSTRALIA
    2. By entering a Competition you agree to be bound by these terms and conditions (the “Terms and Conditions“). Promotional materials relating to a Competition also form part of these Terms and Conditions. In the event of any conflict between such promotional materials and these Terms and Conditions, these Terms and Conditions take precedence.

    1. A Competition is open to users around the world aged 18 and over (each “you” or “your“), subject to paragraph 2 below. You must have a The Green Room profile to enter and remain at all times subject to The Green Room Website Terms and Conditions available at The Green Room Website Terms and Conditions. Participation in a Competition is subject to creating a project in the Green Room App and creating at least 1 job in The Green Room App. The Green Room reserves the right to change the entrance fee at any time, provided that the fee will not increase in respect of an active Competition unless The Green Room is required to do so by law or exigent circumstances.
    2. A Competition is not open to: (a) employees of The Green Room or employees of any of The Green Room’s promotional partners involved in a Competition; (b) anyone involved in judging a Competition; or (c) immediate family and or household members of the individuals referred to in this section 2.
    3. To enter a Competition, you must submit your application by enter process below (“Entry“) by the Competition end date outlined for each Competition (the “Competition End Date“), the application process is as follows:
      1. Download The Green Room App either iOS or Android
      2. Create a Profile
      3. Create Project which should include
        1. Project Name
        2. Type of Production
        3. Genre
        4. Status
        5. Location
        6. IMBD
        7. Photo or image
      4. Create a Job for the Project, details should include,
        1. Department
        2. Payment
        3. Location
        4. Starting date
        5. The relating project
      5. Email the Project Title to [email protected] including
        1. Subject – Film Fund Application
        2.  Explain in 100 words of less why you created the project

All Entries must be submitted in English or Spanish and are subject to any stated requirements as to length and format.

    1. All Entries can be revised or amended up to and after submission before the Competition End Date. As of the Competition End Date, all Entries will be considered final for the particular Competition.
    2. You are responsible for obtaining all necessary rights and consents if your Entry contains the personal data (e.g. name, photo) of a third party or third party intellectual property and for providing documentation of such upon request from The Green Room.
    3. After the Competition End Date, all Entries will be evaluated initially by a team of The Green Room employees with experience in film production based on criteria that will be published in advance of each Competition (“Judging Criteria“). For example, the criteria for a film could include:
      1. Originality: The uniqueness and originality of the premise or story.
      2. Creativity: The effective use of imagination as evidenced in the entry.
      3. Plot: The actions, events, conflicts and turning points that propel the story forward. How the story unfolds.
      4. Pacing & Structure: The timing of the action, unfolding of plot elements and character development. The framework of the film or script.
      5. Characters: Personalities that are distinctive, compelling, multi-layered and unpredictable. A protagonist and antagonist with clear and active goals.
      6. Entertainment Value: Does the story keep the viewer’s or reader’s attention? It is fun, engaging or thought provoking?
      7. Dialogue: Voices that are natural, succinct and unique to each character. Use of language that effectively reveals character and moves the story forward. Is the lack of dialogue used effective.

For the avoidance of doubt, for each Competition no Entry will be reviewed by The Green Room team prior to the Competition End Date.

The Green Room team will select up to twenty (10) Entries, that they determine most successfully satisfy the applicable Judging Criteria (the “Shortlisted Entries“), to submit to a panel of independent experts in film production for judging (the “Panel“). Successful and unsuccessful filmmakers will be notified of the team’s selection of Shortlisted Entries no later than fourteen (14) days after the end of the applicable Competition entry period. The Green Room may at its sole discretion cancel, withhold or postpone naming any Shortlisted Entries, if, in the sole discretion of The Green Room, the quality of the Entries is sufficiently poor, or for any other reason, without prior notice and without any liability whatsoever.

The filmmaker of each Shortlisted Entry may be invited to submit additional information and materials for consideration by the Panel, including but not limited to:

      1. Script
      2. Budget breakdown
      3. Production timeline
      4. A short video

Such information and materials must be submitted no later than three (3) days after being requested. The Panel will select up to five winning entries from amongst the Shortlisted Entries, based on the applicable Judging Criteria. The filmmakers of the applicable Shortlisted Entries will be notified promptly after a decision is made. The filmmakers of winning Entries (“Winners“) may be obligated to agree to additional conditions prior to being awarded the applicable Grant. All decisions made by The Green Room team and the Panel are at their respective sole discretion, final and binding and cannot be contested or disputed. No correspondence will be entered into by The Green Room or any member of the Panel regarding any decision or feedback on any Entry.

    1. Each Competition will accept Entries over the course of an announced three (3) month period, and Entries must be submitted no later than 23:59 BT on the last day of the entry period. Entries received after the closing of the applicable entry period will not be considered for that round but will be entered for the next Competition. The Green Room’s servers and clock will be deemed the official clock for each Competition.
    2. Each filmmaker may submit up to five (5) Entries for each Competition, but each Entry will require payment of a separate entry fee.
    3. All Entries that violate any third party intellectual property rights, data protection laws, The Green Room Website Terms and Conditions or any other applicable national laws, will be deemed ineligible. The Green Room reserves the right to exclude anyone and to refuse any Entry from a Competition at any time, for any reason, without prior notice and without incurring any liability to the fullest extent permissible by law. Without limitation, any inability to participate in the publicity and promotional activities described in Section 4 below shall constitute grounds for disqualification.
    4. You will bear your own costs incurred with respect to the preparation of your Entry as well as any costs relating to your participation in a Competition including but not limited to the cost of creating the materials submitted.
    1. You warrant that:
      1. All information provided with your Entry is true, complete and accurate;
      2. Subject to sub-clause (iii) of this section, your Entry is your own original creation and that you are the sole author and proprietor of the Entry and all the information contained therein; and
      3. To the extent that your Entry relies on or is designed to rely on or incorporate intellectual property that does not belong to you, any third party’s image or likeness, or any other third party rights, you warrant that you have obtained all appropriate and necessary licenses, rights and/or consents to use such content in your Entry.
    1. You shall indemnify and hold The Green Room, its employees, owners, directors and any Panel members harmless in full and on demand against any loss, cost, damage, injury or expense that it may incur as a result of any breach by you of these Terms and Conditions.
    1. You shall fully co-operate with and participate in all publicity and promotional activities in respect of each Competition that you enter. Without limitation to the nature of the promotional and publicity activities you may be required to participate in, you agree to the publishing of your name and the name and description of your project on The Green Room’s website and any The Green Room contractor’s website, and inclusion in press releases and other media coverage (including social media) if your entry is selected as a Shortlisted Entry or Winner. Acceptance of a Prize constitutes permission for The Green Room and its affiliates, agencies, contractors and designees to use each Winner’s name or likenesses, for advertising and promotional purposes in any and all media now or hereafter devised, worldwide in perpetuity (to the maximum extent permissible under applicable law), without additional compensation notification or permission, unless prohibited by law.
    2. You shall not engage in any publicity or promotional activities or make any public announcement about your participation in a Competition without the prior written consent of The Green Room.

Each Winner will be awarded the amount that they have requested; such request can be up to a maximum of $8,500.00, MX pesos payable within thirty (30) days of being named a Winner, for use in the development of the winning project. The Prize cannot be transferred or assigned except with the express written consent of The Green Room. Each Winner shall have the sole responsibility for payment of any taxes, duties, charges or levies to be paid to any third party in connection with any money received in connection with a Competition. While The Green Room does not specify how specifically each Winner is to spend its Grant, The Green Room reserves the right to conduct a reasonable review of how Grants are spent to ensure that they are spent reasonably and in connection with the winning project. Each Winner shall provide The Green Room free of charge one (1) copy of the trailer, finished film and artwork, solely for The Green Room’s record-keeping and other internal purposes.

    1. By submitting your Entry, you grant The Green Room a worldwide, royalty-free right and license to use the contents thereof for purposes of evaluating the Entry and the promotional rights herein.
    2. Any use of your personal data by The Green Room under these Terms and Conditions will be done subject to The Green Room Privacy Policy.
    3. Each Winner will include The Green Room’s animated logo amongst the other animated logos appearing before the start of the film, and will also afford The Green Room a company presentation credit immediately prior to the main titles in the film as well as in all advertising (including print advertising) and posters for the Film, subject to reasonable and customary distributor exclusions. Such logo placement and presentation credit will be on a most favoured nations basis with all others being afford the same or similar credit.
    1. The Green Room accepts no responsibility for any damage, loss, liabilities (whether direct or indirect, howsoever arising), injury or disappointment incurred or suffered by you as a result of submitting an Entry or accepting any prize. The Green Room further disclaims any liability for any injury or damage to you or any other person’s property relating to resulting from participation in, or accessing or using any materials in connection with a Competition.
    2. The Green Room shall not be liable for any damage, loss, liability (whether direct or indirect, howsoever arising), injury or disappointment incurred or suffered by you as a result of the acts or omissions of any third party associated with a Competition.
    3. Nothing in these terms and conditions shall exclude the liability of The Green Room for death, personal injury, fraud or fraudulent misrepresentation as a result of its negligence, or anything that cannot be excluded under applicable law.
    1. The Green Room has the right to cancel or postpone a Competition at any time at its sole discretion without prior notice and without liability whatsoever.
    2. Capitalised terms used but not defined herein shall have the meaning ascribed in The Green Room Website Terms and Conditions. In case of conflict between these Terms and Conditions and The Green Room Website Terms and Conditions, these Terms and Conditions will prevail, unless otherwise expressly indicated herein.
    3. Each Competition and the Terms and Conditions, and any dispute relating thereto or between you and The Green Room will be governed by the laws of Australia, without regard to conflict/choice of law principles. You hereby agree that all disputes arising out of or in relation to a Competition and/or these Terms and Conditions will be brought in an Australian court.
